Buying a small business means relying on a broker's numbers, and the broker is paid when the deal closes. Checking them is the buyer's job. I go through the seller's tax returns and the broker's package with you, so you know what the returns support, which add-backs hold up, and what to ask before the LOI. I tell you what I see, and you make the call.

I'm a CFA and a Chicago Booth MBA. I spent 11 years at Alvarez & Marsal and was a Managing Director at MorrisAnderson and BDO, where I led debtor-side restructuring and served as Chief Restructuring Officer. More than ten of my restructurings ended in a sale. Most recently I was CFO of a multi-shop precision manufacturing platform through its first three acquisitions.

I built Probity (useprobity.com), deal diligence software that recasts the seller's tax returns and sets them next to the broker's numbers. My firm, CrestPoint Ventures (crestpointventures.com), runs turnarounds, interim management and automation for owner-run businesses.
